At ANDX USA LLC (“we,” “us,” or “our”), we believe in transparency and customer awareness. Before using our platform or engaging in transactions involving digital assets, you must carefully read this Risk Disclosure Statement.

Digital asset activity carries significant risk. By using our services, you acknowledge and accept the risks described below and agree that you are solely responsible for any losses or damages arising from your use of the platform.

1.  Market Risk

Digital assets may experience significant price volatility, liquidity limitations, network congestion, or protocol changes.

2.  Regulatory Risk

Digital assets are subject to evolving U.S. and international laws and regulations. Regulatory actions by the U.S. Securities and Exchange Commission (SEC), Financial Crimes Enforcement Network (FinCEN), Florida Office of Financial Regulation (OFR), or other agencies may:

  • Restrict or prohibit the use, conversion, or transfer of stablecoins;

  • Require asset freezes, transaction blocking, or account closures;

  • Cause sudden delisting or withdrawal suspensions of certain digital assets.

3. Counterparty and Issuer Risk

Assets such as stablecoins may depend on the reserves, governance, or operational stability of their issuers. You should carefully evaluate these risks before engaging in digital asset activities.

4. Cybersecurity Risk

Despite robust security protocols, digital platforms are inherently vulnerable to cyberattacks, including:

  • Hacking

  • Phishing

  • Exploits in smart contracts or wallet systems

These attacks may result in unauthorized access to your funds or permanent loss of assets.

5. Technology and Operational Risk

Access to your digital wallet and assets may be disrupted by:

  • Platform outages

  • Software bugs

  • Infrastructure failures

  • Interruptions in third-party services (e.g., BitGo)

We do not guarantee uninterrupted access to the platform or transaction processing.

6. Market Liquidity Risk

Although stablecoins are generally designed for 1:1 redemption, liquidity constraints in the broader market, including on exchanges or banking partners, may lead to delays in conversion or temporary suspension of withdrawals.

7. Legal and Enforcement Risk

Under U.S. law, ANDX USA LLC and its partners are required to comply with subpoenas, freeze orders, and regulatory investigations. Your account and funds may be temporarily or permanently restricted due to legal enforcement, regulatory orders, or sanctions screening.

8. No Deposit Insurance

Your digital assets are not insured by the FDIC or any government agency. You may lose the entire value of your holdings in the event of security breaches, regulatory actions, or counterparty default.

9. No Investment Advice

ANDX USA LLC does not provide investment, tax, or legal advice. Nothing on our platform should be construed as a recommendation to buy, sell, or hold any digital asset. You should consult independent advisors before making any decisions.

By using the ANDX USA LLC platform, you confirm and agree that:

  • You have read and understood this Risk Disclosure Statement;

  • You understand that digital assets carry high risk and may result in financial loss;

  • You accept full responsibility for any transactions or activities undertaken on the platform.

  • Digital assets you hold through the Platform are custodied under BitGo’s regulated trust company framework.

    • ANDX USA does not custody digital assets or control private keys.

    • Certain personal and transactional data may be shared with BitGo to enable custodial, settlement, and compliance functions.

    • Your ability to transact in digital assets depends on system availability and the operational environments of multiple regulated and unregulated parties.
